Title: How to be a consultant?

Hello all,

     I have been working on a NT 12.19 Web Server app that will be a patient registry for a cancer research project.  It is time to sign an agreement with the external company.  The app will be in two parts, one in the USA and one in Australia.  I want to be sure we don't run afoul of privacy laws, etc.  This is my first external consulting job and want to be sure I cover my butt! 
     I received an initial agreement in January which I did not sign as it was too one-sided.  I received a revision today.  While better, I still have issues with "inventions and creative works", liability, being assigned to subsidiaries, affiliates, etc.  My biggest concern is that the company assume all liability as I'm acting as a contractor.  I don't know if that is unreasonable or not.
     Can anyone offer any advice, words of wisdom, things to not agree to?

I've negotiated dozens of long term development contracts and drafted many (in conjunction with my lawyers).

     Thanks!   I would like to talk to you about this.  I'm waiting for a second revision of the contract/agreement.  As soon as I get it I'll contact you to see if we can set up a time.
